1.1 Introduction and Acceptance
These Terms and Conditions ("Terms") govern access to and use of the Alkhiidma digital marketplace platform ("Platform"), operated by G8WAY TECH, a company incorporated and registered in the United Arab Emirates ("Company", "we", "us", or "our"). By ticking the "I agree" box at registration and/or by accessing or using the Platform, you ("User", "you") provide your affirmative electronic acceptance and agree to be legally bound by these Terms and all policies incorporated herein by reference. Such electronic acceptance constitutes a valid and binding contract, and Alkhiidma will retain an electronic record of your acceptance (including the version accepted and the date and time of acceptance). If you do not accept these Terms in their entirety, you must immediately cease using the Platform.
The Platform is a business-to-business (B2B) marketplace intended solely for use by businesses acting during the course of their trade. Each User represents that it is acting for business purposes. The parties intend that the protections, limitations of liability, indemnities, and allocations of risk in these Terms apply with full force between businesses. Where these Terms confer return, complaint, refund, or similar rights, such rights are provided for compliance and good order and do not characterize any User as a consumer; nothing in these Terms limits any right that cannot be waived or excluded under applicable UAE law.
These Terms constitute a binding electronic agreement pursuant to Federal Decree Law No. 14 of 2023 on Modern Technology Based Trade (the "E-Commerce Law") and Federal Decree Law No. 46 of 2021 on Electronic Transactions and Digital Trust.
For the purposes of transparency and applicable law, Alkhiidma discloses the following: legal name G8WAY TECH; trade license number 1619851; issuing authority Dubai Department of Economy and Tourism (DET); registered physical address Mohammed Bin Rashid Al Maktoum City District One, Dubai, United Arab Emirates, P.O. Box 334424; website https://www.alkhiidma.ae/; and contact email admin@alkhiidma.ae. Alkhiidma will keep these particulars current and available on the Platform.
1.2 Platform Nature and Intermediary Status
Alkhiidma operates exclusively as a neutral technology intermediary connecting businesses that buy, sell, exchange, recover, recycle, reuse, and repurpose materials. Alkhiidma is not a buyer, seller, trader, or dealer of any materials listed on the Platform. Alkhiidma does not take possession, ownership, title, or custody of any materials. Alkhiidma does not arrange, provide, or coordinate transportation, collection, or logistics. Alkhiidma does not act as a waste management operator, recycling facility, or environmental services provider. Alkhiidma does not provide environmental compliance, regulatory licensing, or sustainability certification services.
Alkhiidma does not guarantee the accuracy of any listing, the quality of any material, the identity of any User, or the completion of any transaction. For reserved transactions, all payments (including the Buyer's deposit and final balance) are processed and held by a payment service provider licensed by the Central Bank of the UAE in a segregated client account.
Alkhiidma does not hold User funds in its own account and is not a party to the custody of those funds. Alkhiidma instructs the licensed provider to release the material value, net of the platform commission and fees, to the Seller upon the Buyer's confirmation of collection, in accordance with the licensed provider's terms.
If the Buyer neither confirms collection nor raises a rejection or dispute within five (5) business days after collection, collection shall be deemed confirmed and Alkhiidma may instruct the licensed provider to release the material value, net of the platform commission and fees, to the Seller. Any such deemed confirmation does not limit any non-waivable return or refund right available to the Buyer under applicable UAE law.
All transactions, including pricing, payment terms, collection arrangements, transport, inspection, and contractual terms, are agreed exclusively between Users.
1.3 User Eligibility
Access to and use of the Platform is restricted to:
- legal entities duly incorporated, registered, and licensed in the United Arab Emirates or a recognized jurisdiction;
- individuals acting on behalf of a registered legal entity and duly authorized to bind such entity;
- persons who are at least eighteen (18) years of age; and
- entities and individuals who are not subject to any applicable sanctions, export controls, or trade restrictions.
By using the Platform, you represent and warrant that you always meet all eligibility requirements and that you access and use the Platform solely for business purposes during the course of your trade. Alkhiidma reserves the right to verify eligibility at any time and to suspend or terminate access where requirements are not met or where it determines that a User is acting outside the scope of these Terms.
1.4 Account Registration and Business Verification
To access the Platform, Users must complete the registration process, which includes providing accurate, complete, and current business information; uploading a valid UAE trade license or equivalent jurisdiction license; providing authorized signatory identification documentation; and completing any Know Your Customer (KYC) or verification procedures required by Alkhiidma from time to time. You warrant that all information provided is true, accurate, current, and complete, and you agree to update your information promptly upon any change. Alkhiidma reserves the right to reject any registration application at its sole discretion without obligation to provide reasons.
1.5 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You must immediately notify Alkhiidma of any unauthorized access or security breach. Alkhiidma shall not be liable for any loss arising from your failure to maintain account security.
1.6 User-Generated Content
By submitting, posting, or uploading any content to the Platform, including material listings, descriptions, images, data, communications, and documents ("User Content"), you represent and warrant that you own or have all necessary rights to such content; that the content does not infringe any third-party intellectual property rights; and that the content is accurate, not misleading, and compliant with these Terms. By submitting User Content, you grant Alkhiidma a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, display, distribute, and adapt such content for Platform operations, marketing, analytics, and service improvement. Alkhiidma may remove any User Content that violates these Terms without notice.
1.7 Intellectual Property
All intellectual property rights in the Platform, including but not limited to software, source code, algorithms, design, trademarks, logos, text, graphics, and databases ("Platform IP"), are owned by or licensed to Alkhiidma. Nothing in these Terms grants Users any rights in the Platform IP other than a limited, non-exclusive, non-transferable license to access and use the Platform solely for legitimate business purposes in accordance with these Terms. Users must not copy, reproduce, modify, distribute, reverse-engineer, decompile, or create derivative works from any Platform IP without the prior written consent of Alkhiidma.
1.8 Prohibited Conduct
Users must not use the Platform to:
- list, offer, or transact in Prohibited Materials as defined in the Prohibited Materials Policy;
- engage in fraud, misrepresentation, or deceptive practices;
- circumvent, disable, or interfere with Platform security features;
- engage in price fixing, bid manipulation, or anti-competitive conduct;
- transmit spam, viruses, malware, or harmful code;
- violate any applicable law or regulatory requirement;
- infringe any third-party intellectual property rights;
- engage in money laundering, sanctions evasion, or financing of any unlawful activity;
- use automated tools, bots, or scrapers without Alkhiidma's written consent; or
- harass, abuse, or harm other Users.
1.9 Account Suspension and Termination
Alkhiidma may, at its sole discretion and without prior notice, suspend or restrict access to the Platform where there is a breach of these Terms; terminate an account where a material breach is not remedied within a reasonable period; or permanently ban access to any User engaged in fraud, sanctions violations, or criminal conduct. Alkhiidma shall not be liable for any loss arising from suspension or termination carried out in accordance with these Terms. Upon termination, all licenses granted to the User cease immediately.
1.10 Limitation of Liability
1.10.1 Time Limit for Claims. To the fullest extent permitted by applicable UAE law, any claim or action a User may have against Alkhiidma arising out of or in connection with these Terms or the Platform must be commenced within twelve (12) months after the date on which the User became aware, or ought reasonably to have become aware, of the event giving rise to the claim; failing which the claim is irrevocably waived and barred. Nothing in this clause extends or overrides any mandatory limitation period under applicable UAE law.
1.10.2 Suspension and Withholding. Alkhiidma may, at its discretion and without liability, suspend, delay, or decline any transaction, and may instruct the licensed payment service provider to withhold, freeze, or delay the release or refund of any funds, where Alkhiidma reasonably suspects fraud, money laundering, sanctions or legal breach, a chargeback or reversal, a dispute between Users, or a breach of these Terms, or where required by law, regulation, or a competent authority. Alkhiidma may retain such measures for so long as is reasonably necessary to investigate and resolve the matter.
1.10.3 Aggregate Cap and Exclusions.To the fullest extent permitted by applicable UAE law, Alkhiidma's total aggregate liability to any User shall not exceed the fees paid by that User to Alkhiidma in the three (3) months preceding the event giving rise to the claim. Alkhiidma shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profit, loss of revenue, loss of data, or loss of business opportunity. Alkhiidma shall not be liable for any loss arising from third-party conduct, including User-to-User transactions, logistics failures, material defects, or regulatory non-compliance by Users. To the fullest extent permitted by applicable UAE law, Alkhiidma shall not be liable for: (a) any act, omission, insolvency, delay, or error of the licensed payment service provider; (b) the timing, delay, or non-receipt of any deposit, balance, release, refund, or chargeback; (c) any loss of funds in transit or held by the payment service provider; or (d) any User-to-User refund, return, or rejection outcome. Alkhiidma is not the custodian of, trustee for, or fiduciary in respect of any User funds. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law.
1.10.5 Assumption of Risk and Release.Each User acknowledges that it accesses the Platform and transacts with other Users at its own risk. To the fullest extent permitted by applicable UAE law, each User releases and waives any claim against Alkhiidma arising from or in connection with another User's conduct, the quality, condition, legality, or fitness of any materials, non-payment, non-collection, fraud, misrepresentation, or the failure, delay, or outcome of any transaction between Users.
1.11 Indemnification
Each User agrees to indemnify, defend, and hold harmless Alkhiidma, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: the User's breach of these Terms or any applicable law; the User's listing, sale, purchase, or handling of materials; third-party claims arising from User Content; the User's violation of any third-party rights; any transaction or dispute between Users; or any claim relating to deposits, refunds, chargebacks, reversals, or instructions given to the payment service provider in connection with the User's transactions.
1.12 Force Majeure
Alkhiidma shall not be liable for any delay or failure to perform its obligations under these Terms where such failure results from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, war, civil unrest, network failures, regulatory changes, or any failure or disruption of the payment service provider, banking systems, payment gateways, telecommunications, or other third-party infrastructure, consistent with Article 273 of the UAE Civil Transactions Law No. 5 of 1985 (as amended).
1.13 Data Protection
Alkhiidma processes personal data in accordance with Federal Decree Law No. 45 of 2021 Regarding the Protection of Personal Data ("PDPL") and, where applicable, the DIFC Data Protection Law No. 5 of 2020. Further details are set out in the Privacy Policy. Users who submit personal data of third parties warrant that they have all necessary consents and authority to do so.
1.14 Sanctions and Regulatory Compliance
Users represent and warrant that they are not subject to any sanctions, embargoes, or trade restrictions imposed by the UAE, United Nations, United States, European Union, or United Kingdom. Users must not use the Platform to facilitate transactions that would violate applicable sanctions regimes. Alkhiidma may refuse service to any User where required to do so by applicable law or regulation.
1.15 Future Service Expansion
Alkhiidma currently facilitates payment processing for reserved transactions through a licensed third-party payment service provider as described in these Terms. Alkhiidma reserves the right, at its sole discretion, to introduce additional products and services at any time, including but not limited to subscription tiers, premium memberships, advertising products, verification services, sustainability reporting tools, logistics integrations, and AI-powered marketplace features. Such additional services may be governed by supplemental terms, which will be notified to Users in advance.
1.16 Amendments
Alkhiidma may amend these Terms at any time. Material changes will be notified to Users by email or Platform notification at least fourteen (14) days before taking effect. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.
1.17 Governing Law
These Terms and all non-contractual obligations arising from or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates.
1.18 DIFC Courts: Jurisdiction
Subject to any mandatory dispute-resolution mechanism available to Users under applicable UAE law (including any dispute-settlement committee or arbitration option provided under Federal Decree-Law No. 14 of 2023), the parties agree to opt into and submit to the jurisdiction of the Dubai International Financial Centre Courts ("DIFC Courts") for the resolution of any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, breach, or termination, and including any non-contractual obligations arising from or in connection herewith. This opt-in is made pursuant to Dubai Law No. 2 of 2025 Concerning the DIFC Courts and any applicable practice directions issued thereunder. Nothing in this clause excludes or limits any non-waivable statutory remedy or forum available to Users. Without prejudice to the above, Alkhiidma reserves the right to seek interim or injunctive relief, or to enforce any judgment, in any competent court of the United Arab Emirates.
1.19 Notices
All notices to Alkhiidma must be in writing and delivered by email to legal@alkhiidma.comor by registered mail to Alkhiidma's registered address. Notices to Users shall be sent to the email address registered on the account and shall be deemed received on the date sent.
1.20 Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal under applicable law, that provision shall be severed. The remaining provisions shall continue in full force and effect.
1.21 Entire Agreement
These Terms, together with all incorporated policies, constitute the entire agreement between Alkhiidma and each User with respect to the Platform and supersede all prior understandings, representations, and agreements. Each User acknowledges that, in entering into these Terms, it has not relied on any statement, representation, warranty, or assurance that is not expressly set out in these Terms, and (to the fullest extent permitted by applicable UAE law) waives any claim based on any such statement other than for fraud.
1.22 Confidentiality
Each party shall keep confidential all non-public information disclosed by or obtained from the other party or other Users in connection with the Platform, including business, transaction, pricing, and KYC information, and shall use it only for the purposes of these Terms. This obligation does not apply to information that is or becomes public through no breach, was lawfully known without obligation of confidence, or is required to be disclosed by law, regulation, or competent authority. Alkhiidma may disclose User information to regulators, law enforcement, the payment service provider, and its professional advisers as necessary. This clause survives termination.
1.23 Assignment
Alkhiidma may assign, novate, transfer, or subcontract any of its rights or obligations under these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of business, without the consent of any User. A User may not assign or transfer any of its rights or obligations under these Terms without Alkhiidma's prior written consent.
1.24 No Waiver; No Agency
No failure or delay by Alkhiidma in exercising any right or remedy under these Terms operates as a waiver of it, and no single or partial exercise precludes any further exercise. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between Alkhiidma and any User, and no User may bind Alkhiidma or hold itself out as authorized to do so.
1.25 Language
These Terms are issued in English. If Alkhiidma provides an Arabic translation, the English version shall prevail to the extent permitted by applicable law; before any court or authority requiring Arabic, the Arabic text will govern as a matter of law.
1.26 Survival
The provisions of these Terms which by their nature should survive termination, including those relating to limitation of liability, assumption of risk and release, indemnification, intellectual property, taxes, set-off, confidentiality, governing law, and dispute resolution, shall survive termination or expiry of these Terms or any User's access to the Platform.
1.27 Complaints
Users may submit complaints at any time to complaints@alkhiidma.com. Alkhiidma will acknowledge each complaint within two (2) business days and aim to provide a substantive response within fifteen (15) business days. Complaints relating to User-to-User transactions will be handled under the Dispute Resolution Policy. This mechanism is in addition to, and does not limit, any statutory complaint or dispute route available to Users under applicable UAE law.
1.28 Secure Payment and Cybersecurity
Alkhiidma uses reasonable endeavors to maintain a secure technology infrastructure and to implement appropriate technical and organizational measures consistent with the E-Commerce Law and applicable Telecommunications and Digital Government Regulatory Authority ("TDRA") and Central Bank of the UAE cybersecurity and digital-payment requirements. All payment processing is conducted through a licensed payment service provider using secure payment methods designed to protect Users against fraud. Alkhiidma does not warrant that the Platform, its infrastructure, or any payment method will be uninterrupted, error-free, or absolutely secure, and to the fullest extent permitted by applicable UAE law gives no warranty to that effect.
1.29 Electronic Invoicing
Alkhiidma will issue a detailed electronic invoice for all platform fees and commission charged to Users, including VAT particulars where applicable. Sellers must issue a detailed electronic invoice to the Buyer for the underlying sale of materials in respect of each completed transaction, in compliance with applicable UAE law.
1.30 Set-Off and Recovery
Alkhiidma may set off, deduct, or recover from any amounts otherwise payable to a User, or directly from the User, any unpaid Platform fees or commission, any reversed or charged-back transaction, and any costs Alkhiidma incurs as a result, and may instruct the payment service provider accordingly.
1.31 Taxes
Each User is solely responsible for determining, collecting, reporting, and remitting all taxes (including VAT) arising from its transactions on the Platform. Alkhiidma is responsible only for taxes applicable to its own fees and commission. Unless expressly stated otherwise, all fees and amounts referred to in these Terms are exclusive of VAT and other applicable taxes, which will be added where chargeable.
1.32 Payment Service Provider
Use of the Platform's payment features is subject to the terms and conditions of the licensed third-party payment service provider. By using those features, you agree to the provider's terms and authorize Alkhiidma to instruct the provider in connection with your transactions. Alkhiidma may appoint, change, or replace its licensed payment service provider(s) at any time and will notify Users of any material change. To the fullest extent permitted by applicable UAE law, Alkhiidma is not liable for the provider's terms, decisions, performance, or any act or omission of the provider.
1.33 Environmental and Waste Compliance Status
Alkhiidma is a technology intermediary only. It is not a waste management operator, carrier, broker, dealer, collector, transporter, treatment or recycling facility, or environmental services provider, and it does not take possession, custody, or control of, or transport, store, treat, or dispose of, any materials. Each User is solely responsible for holding and maintaining all Licenses, permits, approvals, and registrations required under applicable UAE environmental and waste legislation (including Federal Law No. 12 of 2018 on Integrated Waste Management and its executive regulations and any emirate-level requirements) for the listing, sale, purchase, handling, transport, and processing of materials, and for full compliance therewith. Users represent and warrant that they hold all such authorizations and will provide evidence on request. To the fullest extent permitted by applicable UAE law, Alkhiidma bears no liability for, and each User indemnifies Alkhiidma against, any environmental or waste-related non-compliance, claim, penalty, or loss arising from a User's materials, listings, or transactions.
1.34 Electronic Records
Alkhiidma may retain electronic records relating to User registrations, acceptances of these Terms, transactions, invoices, communications, and other Platform activities in electronic form. Such records may be relied upon as evidence to the fullest extent permitted by applicable UAE law and shall be maintained for such period as required by law or reasonably necessary for Alkhiidma's legitimate business purposes.
